TERMS OF ENGAGEMENT
Stratella Agency
These Terms of Engagement (“Terms”) govern the collaboration between Stratella (“Agency”) and the Client.
By engaging Stratella’s services, the Client agrees to the following terms.
1. Scope of Services
Stratella provides strategic marketing services, including but not limited to:
• marketing strategy development
• brand positioning and brand strategy
• market entry and GEO expansion strategy
• communication architecture
• influence marketing strategy
• advisory and strategic consulting
The exact scope of work is defined individually for each Client and outlined in a separate proposal or agreement.
Stratella operates primarily at a strategic level and does not guarantee execution unless explicitly agreed.
2. Nature of Work
Stratella works as a strategic partner, not as a task-based contractor.
This means:
• decisions are based on analysis, experience, and market logic
• recommendations may challenge existing assumptions or internal structures
• the outcome depends on the Client’s implementation and internal processes
Stratella is not responsible for execution results if recommendations are not implemented fully or correctly.
3. Engagement Model
Stratella typically operates under:
• project-based engagements
• retainer (ongoing strategic support)
All commercial terms, timelines, and deliverables are defined in a separate agreement or proposal.
4. Fees & Payment Terms
• All payments are made in advance unless otherwise agreed
• Retainer services are billed on a monthly basis (100% prepayment)
• Project work may be split into milestones with prepayment required before each phase
Failure to complete payment may result in suspension of services.
5. Client Responsibilities
The Client agrees to:
• provide accurate and complete information
• ensure timely communication and feedback
• assign a responsible point of contact
• provide access to relevant data, tools, and internal teams
Delays caused by the Client may affect timelines and outcomes.
6. Confidentiality
Both parties agree to keep confidential any non-public, sensitive, or proprietary information shared during the collaboration.
This includes:
• business strategies
• financial data
• internal processes
• marketing plans
This obligation remains in force after the termination of cooperation.
7. Intellectual Property
All strategic materials, frameworks, and documents created by Stratella remain the intellectual property of the Agency until full payment is received.
After full payment:
• the Client receives the right to use the materials for internal business purposes
• redistribution, resale, or transfer to third parties is not permitted without written consent
8. Limitation of Liability
Stratella provides strategic recommendations and advisory services.
The Agency does not guarantee:
• specific financial results
• revenue growth
• market performance
Stratella is not liable for:
• business losses
• operational decisions made by the Client
• third-party performance (agencies, traffic teams, platforms, etc.)
9. Termination
Either party may terminate cooperation with written notice.
For retainer agreements:
• a notice period of 14–30 days may apply (as defined in the agreement)
Payments made are non-refundable unless otherwise agreed.
10. Non-Exclusivity
Stratella reserves the right to work with multiple clients, including those within similar industries, provided there is no direct conflict of interest.
11. Governing Principle
Stratella operates based on:
• strategic clarity over volume of actions
• long-term brand value over short-term tactics
• structured growth over хаotic scaling
12. Final Notes
By engaging Stratella, the Client acknowledges that:
• meaningful results require alignment, trust, and proper implementation
• strategy is not a one-time deliverable but a foundation for ongoing decisions
